These Terms and Conditions ("Terms") govern your access to and use of Feit Electric Company, Inc.'s websites (feit.com, creelightinghome.com, lifx.com, universalsecurity.com, goodearthlighting.com), mobile applications, and connected smart home products. Please read them carefully. By accessing or using any of our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using any Feit Electric website, online store, application, or connected product (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.

If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" will include that entity.

We reserve the right to revise these Terms at any time. We will provide notice of material changes by posting a revised version with an updated effective date. Your continued use of the Services after the effective date of any revision constitutes your acceptance of the revised Terms.

2. Eligibility

The Services are intended for users who are at least 18 years of age, or the age of majority in their jurisdiction if higher. By using the Services, you represent and warrant that you meet this age requirement. If you are under 18, you may use the Services only with the involvement and supervision of a parent or guardian.

You may not use the Services if you are located in a country subject to a U.S. government embargo or are listed on any U.S. government list of prohibited or restricted parties.

3. Accounts

• Certain features of the Services require you to create an account. When registering, you agree to: provide accurate, current, and complete information; maintain and promptly update that information to keep it accurate and complete; keep your password confidential and not disclose it to any third party; notify us immediately of any unauthorized use of your account at legal@feit.com; and accept responsibility for all activity that occurs under your account.
• We reserve the right to suspend or terminate your account, or deny access to the Services, at our sole discretion and without prior notice, if we reasonably believe you have violated these Terms or applicable law. You may close your account at any time by contacting us. Termination does not relieve you of obligations accrued prior to termination.

4. Products, Orders, and Purchases

• We make every effort to display accurate product descriptions, specifications, images, and pricing on our websites. However, we do not warrant that product descriptions or other content are complete, accurate, reliable, current, or error-free. If a product offered on our sites is not as described, your sole remedy is to return it in accordance with our return policy. Product availability is subject to change without notice. We reserve the right to limit quantities of any product sold.
• All prices are in U.S. dollars unless otherwise stated. Prices are subject to change without notice. We reserve the right to refuse or cancel orders if a product is listed at an incorrect price, whether due to typographical error or otherwise. We accept payment via major credit cards, debit cards, and other payment methods as indicated at checkout. By submitting a payment, you represent and warrant that you are authorized to use the payment method provided. All payments are processed through Shopify Payments or other third-party payment processors; Feit Electric does not store raw payment card data. Sales tax will be applied where required by applicable law.
• Your placement of an order constitutes an offer to purchase the selected products. Our acknowledgment of an order (by email or otherwise) does not constitute acceptance of your offer. A binding contract is formed when we ship the ordered product. We reserve the right to cancel any order for any reason prior to shipment and will issue a full refund if payment has been charged.
• Shipping costs and estimated delivery times are displayed at checkout. Risk of loss and title to physical products passes to you upon delivery to the carrier. We are not responsible for delays caused by the carrier, customs, or events beyond our reasonable control.
• Returns are accepted in accordance with our return policy, which is available at feit.com/returns and incorporated into these Terms by reference. Defective products may also be eligible for replacement under our Limited Warranty described in Section 6.

5. Mobile Applications — License

Subject to your compliance with these Terms, Feit Electric grants you a limited, non-exclusive, non-transferable, revocable license to download and use the Feit Electric, HomeBrite, Feit OTA, LIFX, and Good Earth Lighting mobile applications (collectively, "App" or "Apps") on devices you own or control, solely for your personal, non-commercial use.

• You may not: copy, modify, translate, or create derivative works of any App; reverse-engineer, decompile, disassemble, or attempt to extract source code from any App, except as expressly permitted by applicable law; rent, lease, lend, sell, sublicense, or otherwise redistribute any App; use any App on a device you do not own or control; remove, alter, or obscure any proprietary notices in or on any App; or use any App for any purpose other than its intended use in connection with Feit Electric products.
• If you download an App from the Apple App Store, the Apple Media Services Terms and Conditions apply in addition to these Terms. Apple is not a party to these Terms and has no obligation to provide maintenance, support, warranties, or product claims with respect to the Apps. If an App fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any); Apple has no further warranty obligation with respect to the Apps. If you download an App from the Google Play Store, Google's terms apply in addition to these Terms.
• We may issue updates, patches, or new versions of the Apps at any time. We may terminate your license to use any App at any time if you breach these Terms. Upon termination, you must cease all use and delete all copies of the App from your devices.

6. Connected Products — Additional Terms

• Feit Electric grants you a limited, non-exclusive, non-transferable license to use the firmware embedded in Feit connected products (smart bulbs, cameras, doorbells, locks, switches, and sensors) solely to operate those products for their intended purpose. You may not modify, reverse-engineer, or extract firmware.
• Our connected products may be integrated with third-party smart home platforms (e.g., Amazon Alexa, Google Home, Apple HomeKit, Samsung SmartThings). Your use of those platforms is governed by their respective terms of service and privacy policies. Feit Electric is not responsible for third-party platform availability, accuracy, or terms.
• Connected product features that depend on cloud connectivity (scheduling, remote access, automations, and similar features) require internet access and active operation of our cloud services. We may modify, suspend, or discontinue cloud-dependent features at any time. Core local functionality (such as manual control of smart bulbs through a switch) is not affected by service changes.

IMPORTANT: If Feit Electric discontinues a cloud service that a product depends upon, we will provide at least 90 days' advance notice where reasonably practicable. We will also attempt to release a firmware update enabling continued local operation where technically feasible.

Camera/Audio Product Terms

Use of Feit camera products is subject to the following additional terms:

• You are solely responsible for placing and configuring cameras in compliance with all applicable federal, state, and local laws, including laws governing surveillance, recording, and the privacy rights of others; Do not install cameras in locations where persons have a reasonable expectation of privacy (e.g., bathrooms or dressing rooms); If you record audio, you must comply with applicable call recording and wiretapping statutes, which in many states require the consent of all parties being recorded; and You must not use camera features to conduct unlawful surveillance, stalk, harass, or harm any person.
• Feit's connected devices operate on infrastructure provided by Tuya Smart. When you use a Feit smart product, Tuya collects and processes device operational data (device state, event logs, and usage patterns) as part of the cloud service. Tuya also offers optional AI-powered alert features ("AI Alerts") for camera and doorbell products; if you activate these features, your Feit security camera and doorbell products capture audio and video in and around your home. Recordings may be stored locally on an SD card inserted in the device. All data transmissions between your device and the Feit app are encrypted. You may delete locally stored recordings at any time through the Feit app. Optional cloud storage and AI Alert plans are available through the Feit Electric app and are provided directly by Hangzhou Tuya Information Technology Co., Ltd. ("Tuya Smart"). If you purchase one of these plans, your recordings and related data will be transmitted to and stored on Tuya's servers, and your use of those services is subject to Tuya's Privacy Policy and Terms of Service. You should review Tuya's privacy practices at tuya.com/rule before subscribing.

7. Limited Product Warranty

• Feit Electric warrants to the original purchaser that its products are free from defects in materials and workmanship for the warranty period specified on the product packaging or on feit.com/warranty. This warranty is non-transferable and applies only to products purchased from Feit Electric or an authorized retailer.
• This warranty does not cover: damage caused by accident, misuse, neglect, unauthorized modification, improper installation, or use outside the specifications on the product label; normal wear and tear, including lumen depreciation that does not exceed the rated life published for the product; products that have been repaired or modified by anyone other than Feit Electric or its authorized representatives; damage caused by operating products at improper voltage or with incompatible dimmers, ballasts, or drivers; cosmetic damage not affecting function; or products sold "as is" or "refurbished."
• Feit Electric's sole obligation under this warranty is, at its option, to repair or replace the defective product or to refund the original purchase price. Replacement products may be new or refurbished. To make a warranty claim, visit feit.com to submit a warranty request with proof of purchase.

EXCEPT FOR THE LIMITED WARRANTY ABOVE, THE SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FEIT ELECTRIC DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FEIT ELECTRIC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Intellectual Property

Feit Electric IP

All content on our websites and in our applications — including text, graphics, logos, images, software, and compilations thereof — is the property of Feit Electric Company, Inc. or its content suppliers and is protected by U.S. and international copyright, trademark, patent, and trade secret laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property other than the limited licenses expressly set forth herein.

Trademarks

Feit®, Feit Electric®, Cree Lighting®, LIFX®, Good Earth Lighting®, Universal®, Universal Security Instruments®, HomeBrite™, and Feit OTA™ are trademarks or registered trademarks of Feit Electric Company, Inc. Third-party trademarks mentioned on our sites (Amazon Alexa®, Google Assistant®, Apple®, Apple HomeKit®, etc.) are the property of their respective owners and are used for informational purposes only.

DMCA / Copyright Infringement

If you believe content on our websites infringes your copyright, please send a written notice to our designated DMCA agent. Your notice must comply with the requirements of 17 U.S.C. § 512(c)(3). Repeated infringers may have their access to the Services terminated.

User Content

If you submit any content to our websites or applications (including reviews, photos, or feedback), you grant Feit Electric a worldwide, royalty-free, non-exclusive, perpetual license to use, reproduce, modify, display, and distribute that content in connection with our products and services. You represent that you have all necessary rights to grant this license and that your content does not violate any third-party rights or applicable law.

9. Prohibited Conduct

• You agree not to use the Services to: violate any applicable federal, state, local, or international law or regulation; transmit any unsolicited commercial email or spam; impersonate any person or entity, or misrepresent your affiliation with any person or entity; engage in any conduct that restricts or inhibits any person's use of the Services; attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services; transmit any malware, ransomware, viruses, Trojan horses, worms, or other malicious code; scrape, crawl, or otherwise extract data from the Services through automated means without our express written permission; use the Services to harass, threaten, defame, or intimidate any person; use camera features to engage in unlawful surveillance or recording; or interfere with or disrupt the integrity or performance of the Services or servers or networks connected thereto.
• Violation of this Section may result in immediate termination of your account and access to the Services and may be referred to law enforcement authorities.

10. Third-Party Links and Services

The Services may contain links to third-party websites, applications, or services. These links are provided for convenience only. Feit Electric does not endorse, control, or assume responsibility for third-party content, privacy practices, or terms. You access third-party sites at your own risk. Third-party product integrations (e.g., Alexa skills, Google Assistant actions) are governed by the respective third party's terms of service. Feit Electric is not responsible for the availability, accuracy, or terms of those services.

11. Privacy

Our Privacy Policy (available at feit.com/pages/privacy-policy) is incorporated into and forms part of these Terms. By using the Services, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FEIT ELECTRIC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES OR PRODUCTS, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, PROPERTY DAMAGE, PERSONAL INJURY, OR COST OF SUBSTITUTE GOODS OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL FEIT ELECTRIC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO FEIT ELECTRIC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the limitations above may not apply to you in full.

13. Indemnification

You agree to indemnify, defend, and hold harmless Feit Electric Company, Inc. and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any content you submit through the Services.

14. Product Safety and Compliance

Feit Electric products are designed and tested to meet applicable safety standards, including UL listings and FCC Part 15 requirements where applicable. To ensure safe use:

• Use products only as described in the packaging and product documentation;
• Install light bulbs and fixtures only in luminaires rated for the wattage and base type specified;
• Do not use non-dimmable products with dimmers;
• Keep products away from moisture unless rated for wet or damp locations;
• Do not modify, disassemble, or attempt to repair smart devices; and
• Register your products and contact Feit Electric Support for current product safety or recall information.

Products regulated by the California Energy Commission (CEC) that are non-compliant with Title 20 are not available for sale or resale in California. Not all products are available in all states or countries.

15. Export Controls

The Apps, firmware, and other software components of the Services may be subject to U.S. export control laws, including the Export Administration Regulations (EAR). You may not export or re-export any such items to any destination, person, or entity prohibited by U.S. law, including without limitation countries subject to U.S. embargo or persons on the U.S. Treasury Department Specially Designated Nationals list or the Commerce Department Entity List. By using the Services, you represent and warrant that you are not located in, a citizen or resident of, or under the control of any such country or on any such list.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Subject to the arbitration agreement in Section 18, you consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California for any dispute not subject to arbitration.

17. Modifications to the Services

Feit Electric reserves the right to modify, suspend, or discontinue any part of the Services at any time without liability. We will endeavor to provide reasonable notice of material changes, particularly for changes that affect connected product functionality. Feit Electric is not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

18. Dispute Resolution — Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES ARBITRATION OF MOST DISPUTES AND WAIVES YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS AND CLASS-WIDE ARBITRATION.

Informal Resolution

Before filing any claim, you agree to contact us at legal@feit.com and attempt to resolve the dispute informally for at least 30 days. If the dispute is not resolved informally, either party may proceed to arbitration as described below.

Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services that is not resolved informally will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures (for claims under $250,000) or its Comprehensive Arbitration Rules and Procedures (for claims over $250,000), as applicable. The arbitration will be conducted in Los Angeles County, California, or by telephone or video conference at your election. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND FEIT ELECTRIC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. UNLESS BOTH YOU AND FEIT ELECTRIC AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS.

Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights or to address other urgent matters where irreparable harm would result without immediate relief. Claims that may be brought in small claims court are also exempt from mandatory arbitration.

Opt-Out

You may opt out of this arbitration agreement by sending written notice to legal@feit.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you are opting out of arbitration. Opting out will not affect any other provision of these Terms.

19. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Feit Electric with respect to the Services and supersede all prior agreements, understandings, and representations relating to the subject matter.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severed from the Terms and will not affect the validity and enforceability of the remaining provisions.

No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision unless we acknowledge and agree to it in writing.

Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. Feit Electric may assign these Terms, including in connection with a merger, acquisition, or sale of assets, without restriction.

Force Majeure

We will not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including acts of God, natural disaster, pandemic, government action, internet or telecommunications failures, or supply chain disruptions.
